1. Agreement to Terms

By accessing or using FARGPT's AI-powered federal acquisition research platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and FARGPT ("Company," "we," "us," or "our").

2. Description of Service

FARGPT provides an AI-powered platform designed to assist federal acquisition professionals with:

  • Research of the Federal Acquisition Regulation (FAR), DFARS, VAAR, and other regulatory supplements
  • Analysis of bid protests and case law from GAO and COFC
  • Solicitation parsing and compliance matrix generation
  • Study materials for contracting officer warrant preparation
  • Related acquisition workflow tools

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Organization Accounts

If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

5. Subscription and Payment

5.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. The features available to you depend on your subscription plan.

5.2 Payment Terms

You agree to pay all fees associated with your subscription plan. All fees are non-refundable except as expressly set forth in these Terms or as required by law.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

5.4 Price Changes

We reserve the right to change our prices at any time. We will provide you with advance notice of any price changes.

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for use by acquisition professionals for research, analysis, and educational purposes.

6.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to transmit any viruses, malware, or other harmful code
  • Scrape, crawl, or use automated means to access the Service without our prior written consent
  • Resell, redistribute, or sublicense the Service without authorization
  • Use the Service to generate content that infringes on intellectual property rights
  • Misrepresent the AI-generated content as official legal advice

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by FARGPT and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such content to provide and improve the Service.

7.3 Regulatory Content

The FAR, DFARS, and other federal regulations are public domain materials. Our AI-generated summaries, analyses, and organizational structures are proprietary.

8. Disclaimers

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND RESEARCH PURPOSES ONLY. THE SERVICE DOES NOT CONSTITUTE LEGAL ADVICE, AND YOU SHOULD NOT RELY ON IT AS SUCH. ALWAYS CONSULT WITH A QUALIFIED ATTORNEY OR CONTRACTING OFFICER FOR SPECIFIC LEGAL QUESTIONS.

8.2 AI Limitations

Our AI system strives for accuracy but may occasionally produce errors or incomplete information. You are responsible for verifying all information obtained through the Service against official regulatory sources.

8.3 As-Is Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARGPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

9.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless FARGPT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings in the Service.

11.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FARGPT regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
